Terms of Service

Welcome to Immutable. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Immutable Vault LLC ("Immutable," "we," "us," or "our"), governing your access to and use of the Immutable platform, including our website, applications, APIs, and all related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and AML Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Service.

Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of such changes. We reserve the right to modify these Terms at any time, and it is your responsibility to review them periodically.

Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that the entity is legally organized and in good standing under the laws of its jurisdiction of formation.

The Service is not available to persons or entities located in, organized in, or resident of any jurisdiction where the provision of cryptocurrency-related services is prohibited by applicable law or regulation. You are solely responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you.

2. Description of Service

Immutable operates a cryptocurrency-to-fiat offramp platform that enables users to convert supported digital assets into fiat currency. The Service provides the following core functionalities:

  • Crypto-to-Fiat Conversion: Users may convert supported stablecoins and digital assets into fiat currencies through our platform. Conversions are processed via our integrated payment infrastructure and are subject to applicable exchange rates, fees, and processing times.
  • Virtual Card Issuance: Immutable offers virtual debit cards that allow users to spend their converted fiat balances at merchants and online retailers that accept card payments. Virtual cards are issued subject to eligibility requirements and applicable card program terms.
  • Bank Account Transfers: Users may transfer converted fiat funds to linked bank accounts in supported jurisdictions, subject to verification requirements and transfer limits.

Account Types

Immutable offers two categories of accounts:

  • Individual Accounts: Designed for personal use by individual users. Individual accounts are subject to standard transaction limits and require personal identity verification through our KYC process.
  • Business Accounts: Designed for business entities, including corporations, limited liability companies, partnerships, and sole proprietorships. Business accounts may be eligible for higher transaction limits and additional features, and require completion of our Know Your Business (KYB) verification process, including submission of corporate documentation and beneficial ownership information.

Immutable reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and KYC

Registration

To access the Service, you must create an account by providing a valid email address and completing the email verification process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Immutable of any unauthorized use of your account or any other breach of security.

Know Your Customer (KYC) and Know Your Business (KYB)

In compliance with applicable anti-money laundering (AML) and counter-terrorism financing (CTF) regulations, Immutable requires all users to complete identity verification before accessing certain features of the Service. Our KYC and KYB verification processes are facilitated through the Bridge API and may require you to provide the following:

  • Full legal name as it appears on government-issued identification
  • Date of birth
  • Residential address and proof of address
  • Government-issued photo identification (passport, driver's license, or national ID card)
  • Tax identification number or Social Security number (where applicable)
  • For business accounts: certificate of incorporation, articles of organization, beneficial ownership information, and other corporate documentation as required

Accuracy of Information

You represent and warrant that all information provided during registration and the KYC/KYB process is true, accurate, current, and complete. You agree to promptly update your information if any changes occur. Providing false, inaccurate, or misleading information constitutes a material breach of these Terms and may result in immediate suspension or termination of your account, as well as potential reporting to relevant authorities.

Immutable reserves the right to request additional documentation or information at any time to verify your identity, the source of your funds, or the nature of your transactions. Failure to comply with such requests may result in restricted access to or termination of the Service.

4. Supported Transactions

Supported Digital Assets

Immutable currently supports the following digital assets for conversion:

  • USDC (USD Coin)
  • USDT (Tether)

Immutable may add or remove supported digital assets at its sole discretion. Any changes to supported assets will be communicated through the platform or via email notification.

Supported Blockchain Networks

Deposits and transactions are supported on the following blockchain networks:

  • Ethereum (ERC-20)
  • Base
  • Arbitrum
  • Optimism
  • Polygon

You are solely responsible for ensuring that you send digital assets on a supported network. Immutable shall not be liable for any loss of funds resulting from deposits made on unsupported networks or to incorrect wallet addresses. Such transactions may be irreversible and unrecoverable.

Fiat Conversion

Supported digital assets may be converted into fiat currencies available on the platform. Exchange rates are determined at the time of transaction and may fluctuate based on market conditions, liquidity, and other factors. Immutable does not guarantee any specific exchange rate, and the rate displayed at the time of initiating a transaction may differ from the rate at the time of execution. All conversions are final once confirmed and cannot be reversed.

5. Fees and Limits

Transaction Fees

Immutable charges fees for certain transactions conducted through the Service, including but not limited to crypto-to-fiat conversions, virtual card transactions, and bank account transfers. Applicable fees will be clearly disclosed to you prior to the confirmation of each transaction. By confirming a transaction, you agree to pay all associated fees.

Fees may vary based on transaction type, amount, currency pair, payment method, and account type. A complete and current fee schedule is available on the platform.

Transaction and Card Limits

Transactions are subject to minimum and maximum limits, which may vary based on your account type, verification level, jurisdiction, and other factors. Virtual cards are subject to spending limits, daily transaction limits, and monthly transaction limits as determined by Immutable and the applicable card program. These limits are displayed within your account dashboard.

Changes to Fees and Limits

Immutable reserves the right to modify its fee structure and transaction limits at any time. Changes to fees will be communicated to users through the platform, email, or other reasonable means of notification prior to taking effect. Your continued use of the Service after such changes constitutes your acceptance of the updated fees and limits. If you do not agree with any fee changes, your sole remedy is to discontinue use of the Service.

6. Prohibited Activities

You agree not to use the Service for any unlawful, fraudulent, or prohibited purpose. The following activities are strictly prohibited:

  • Money Laundering: Using the Service to conceal or disguise the origin, nature, source, location, ownership, or control of funds derived from illegal activities, or to integrate illicit proceeds into the legitimate financial system.
  • Terrorist Financing: Using the Service to provide, collect, or channel funds or financial resources intended to finance terrorist activities, terrorist organizations, or individual terrorists, whether or not the funds are derived from lawful sources.
  • Fraud and Deception: Using the Service to engage in any form of fraud, including but not limited to identity theft, phishing, social engineering, unauthorized access to accounts, submission of falsified documents, or any scheme designed to defraud Immutable, other users, or third parties.
  • Sanctions Violations: Using the Service in violation of economic or trade sanctions imposed by the United States (including OFAC), the European Union, the United Nations, or any other applicable sanctions authority. This includes transacting with or on behalf of persons, entities, or jurisdictions that are the subject of sanctions designations or comprehensive sanctions programs.
  • Illegal Transactions: Using the Service to facilitate transactions related to illegal goods or services, including but not limited to illegal drugs, weapons, child exploitation material, stolen property, or any other items or services prohibited by applicable law.
  • Market Manipulation: Using the Service to engage in market manipulation, wash trading, spoofing, layering, or any other activity intended to artificially influence the price or volume of any digital asset or financial instrument.
  • Circumvention: Attempting to circumvent any security measures, access controls, transaction limits, or other restrictions implemented by Immutable, including the use of multiple accounts, VPNs, or other tools to evade detection or enforcement.
  • Unauthorized Use: Accessing or using the Service from a jurisdiction where such access or use is prohibited, or using the Service on behalf of a third party without proper authorization.

Immutable reserves the right to investigate any suspected violation of these prohibitions and to take appropriate action, including but not limited to suspending or terminating your account, freezing funds, reporting suspicious activity to relevant authorities, and cooperating with law enforcement investigations.

7. Intellectual Property

All content, materials, and intellectual property associated with the Service, including but not limited to the Immutable name, logo, trademarks, service marks, trade dress, software, source code, algorithms, user interface designs, graphics, text, images, audio, video, and documentation (collectively, "Immutable Content"), are the exclusive property of Immutable Vault LLC or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Immutable Content solely for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

  • Copy, modify, distribute, sell, lease, or sublicense any Immutable Content
  • Reverse engineer, decompile, or disassemble any software or technology used in the Service
  • Use any Immutable trademarks or service marks without prior written consent
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use automated systems, bots, scrapers, or similar tools to access or extract data from the Service

Any unauthorized use of Immutable Content may violate applicable laws and these Terms, and may result in termination of your access to the Service and legal action.

8. Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Immutable DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Immutable does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee continuous, uninterrupted, or secure access to the Service, and operation of the Service may be subject to interference from numerous factors outside of our control. No uptime guarantee is provided, and scheduled or unscheduled maintenance, system upgrades, or technical issues may result in temporary unavailability of the Service.

Cryptocurrency Volatility

You acknowledge and accept that digital assets, including stablecoins, are subject to market volatility and risk. While stablecoins are designed to maintain a stable value relative to a reference asset, there is no guarantee that any stablecoin will maintain its peg or value. Immutable is not responsible for any losses arising from fluctuations in the value of digital assets, depegging events, or changes in exchange rates between the time a transaction is initiated and the time it is completed.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Immutable VAULT LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF Immutable HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Immutable'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO Immutable DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9. Termination

Termination by Immutable

Immutable reserves the right to suspend, restrict, or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to the following circumstances:

  • Violation of these Terms or any applicable law or regulation
  • Engagement in prohibited activities as described in Section 6
  • Failure to complete or pass KYC/KYB verification
  • Provision of false, misleading, or fraudulent information
  • Suspicious or potentially fraudulent account activity
  • Receipt of a subpoena, court order, or request from a law enforcement or regulatory authority
  • Extended period of account inactivity
  • Any other reason deemed necessary by Immutable to protect the integrity of the Service or comply with applicable law

Termination by User

You may close your account at any time by contacting us at contact@immutable.top or through the account settings within the platform. Upon requesting account closure, you must withdraw any remaining funds in your account within the timeframe specified by Immutable. Any funds remaining in your account after the specified withdrawal period may be subject to applicable fees or may be returned to you via the original funding method, at Immutable's discretion.

Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

10. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Immutable agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Sheridan County, Wyoming, for the purpose of litigating any such dispute.

11. Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Immutable at contact@immutable.top and attempt to resolve the dispute informally. The parties shall negotiate in good faith for a period of at least thirty (30) days from the date of the initial written notice of the dispute. Most disputes can be resolved through this informal process.

Binding Arbitration

If a dispute cannot be resolved through informal negotiation within the thirty (30) day period, you and Immutable agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer-Related Disputes.

The arbitration shall be conducted by a single arbitrator, selected in accordance with the AAA rules. The arbitration shall take place in Sheridan County, Wyoming, or at another mutually agreed location, or may be conducted remotely via video conference at the discretion of the arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND Immutable AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

12. Changes to Terms

Immutable reserves the right to update, revise, or modify these Terms at any time at its sole discretion. When we make material changes to these Terms, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending you an email notification or displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account. It is your responsibility to review these Terms periodically to stay informed of any updates. Material changes will not be applied retroactively and will become effective no sooner than fourteen (14) days after they are posted, except for changes addressing legal requirements, which may take effect immediately.
